1. Acceptance of terms

These Website Terms of Use (these "Terms") govern your access to and use of itsupportcarmel.com (the "Site"), owned and operated by TBG Services, LLC, doing business as NEXTmsp ("NEXTmsp," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms govern use of this website only. They are separate from, and do not replace, any Managed Services Agreement, General Terms and Conditions, Order, Quote, or Plan you may separately enter into with NEXTmsp for the provision of IT services, which are governed by their own terms.

2. Eligibility

The Site is intended for business users seeking information about IT support services. By using the Site, you represent that you are at least 18 years old and have the authority to submit information on behalf of yourself or the business you represent.

3. Use of the Site

You agree to use the Site only for lawful purposes. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
  • Submit false, misleading, or fraudulent information through any form on the Site
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems or networks connected to the Site

  • Introduce any virus, malware, or other harmful code to the Site

It does not constitute professional IT, cybersecurity, legal, or business consulting advice, and should not be relied upon as such. Any specific recommendations for your business will only be provided after a direct assessment and engagement with NEXTmsp. Use of the Site or reliance on any information provided on the Site is solely at your own risk.

5. No warranties regarding Site content

We make no representations or warranties of any kind, express or implied, regarding the Site, including without limitation:

You may view and download Content for your own personal, non-commercial, informational use only, provided you do not modify the Content and you retain all copyright and other proprietary notices. You may not reproduce, distribute, publicly display, publicly perform, modify, create derivative works from, or otherwise use any Content for any commercial purpose without our prior written consent.

The "NEXTmsp" name and logo, and all related names, logos, product and service names, designs, and slogans, are trademarks of NEXTmsp or its affiliates. You may not use such marks without our prior written permission.

The Site may contain links to third-party websites that are not owned or controlled by NEXTmsp. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. Inclusion of any link does not imply endorsement by NEXTmsp. 8. Submitted information and consent to contact

By submitting any form on the Site, you represent that the information you provide is accurate and that you are authorized to provide it. You consent to be contacted by NEXTmsp regarding your inquiry as described in our Privacy Policy, which is incorporated into these Terms by reference. Submission of a form does not create any obligation on the part of NEXTmsp to provide services, and does not create any client relationship, engagement, or contract between you and NEXTmsp. Any such relationship will only arise from a separately executed agreement.

9. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall NEXTmsp, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your access to or use of, or inability to access or use, the Site, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total cumulative liability to you for any claims arising out of or relating to the Site shall not exceed one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless NEXTmsp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

13. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Hamilton County, Indiana, if brought in state court, or the United States District Court for the Southern District of Indiana, if brought in federal court, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NEXTmsp regarding your use of the Site and supersede any prior agreements between you and NEXTmsp regarding the Site.
